The terms and your agreement

The general terms provide the framework. Your proposal or project agreement sets out what we will build, how we will work together, what it will cost, and where we depart from that framework. If we agree on availability or service levels, we set those out in a separate SLA. If we process personal data on your behalf, we also record the specific processing arrangements.

What do the terms cover?

• Working together and changes. How project discussions and agile development work, and what happens when requirements, scope, or work change.
• Delivery, acceptance, and warranty. When software is delivered and accepted, and how defects are handled afterwards. We record any additional project warranty separately. Read more about software warranty and aftercare.
• Maintenance, support, and SLAs. The terms provide a framework for maintenance and support. Specific arrangements for monitoring, response times, or availability belong in a separate SLA if we agree on them.
• Confidentiality and personal data. How we handle confidential information and personal data processed on your behalf.
• Security, compliance, and AI. The terms address the security level of products and services, applicable legal obligations, and the use of AI.
• Liability. How responsibility is allocated if something goes wrong and how liability is limited.
• Duration and termination. How long agreements run and how either party may end them. We set out any different notice period in the agreement.

Rights in what we create for you

Under the NLdigital Terms 2025, intellectual property rights remain with the supplier by default. We transfer our rights in all work we create for you, including all code we write for you. The project agreement and accompanying deed of transfer record that transfer. Existing software and third-party components remain subject to their own rights and licences.

We also want you to be able to work with your software in practice. Access to source code, documentation, accounts, and infrastructure is part of a good handover. Read how we approach intellectual property and transferability.

Which text applies?

This page is only an overview. We provide the full terms with your proposal or agreement. If the signed agreement expressly says something different, that provision takes priority. The agreement and the applicable terms together determine what we have agreed.
